日本の企業がビジネスを加速させたい一心で海外のローカル企業を法外な高値で買収し、その後の杜撰なマネジメントにより買った会社を空中分解寸前まで追い込んだ、なんていう話は雨後の筍のように存在しますが、私が海外で経営再建を生業にしていた頃のちょっとした面白いエピソードを紹介します。
瀕死の会社を蘇生させるべく大胆なリストラクチャリングに着手する前に、杜撰極まりない投資と買収先の経営に関わった全ての関係者からヒアリングを行ったのですが、その際に監査役の担当役員がドヤ顔で放った「私は騙されていたんだ！」というセリフに対し、私は不覚にも侮蔑の笑みを隠せませんでした。
監査役というのは会社のチェック機能を司る職責を持ち、その重要なタスクを担う人間が騙されていてはそもそも話にならないのですが、彼は言うに事欠いて何とも恥ずべきことを口走ったことになります。つまり、その監査役は自ら「自分の市場価値はゼロでございます。」と宣言したに等しいのですが、そんなことすら自覚できていない、要するに彼は「騙された」と言えば許されると思っていたわけです。
騙されたということは確かに「不正者による被害」を意味しますが、騙されたとさえいえば、一切の責任から解放され、無条件で正義派になれるように勘違いしている人は、もう一度よく考え直すべきでしょう。 騙されるということは知識の不足と信念すなわち意志の薄弱さに起因するといえます。我々は昔から「不明を謝す」という一つの表現を持っておりますが、これは明らかに知能やプロ意識の不足を罪と認める考え方に他なりません。 即ち、騙されるということもまた一つの立派な罪であるといえます。
「騙されていた」と言って平気でいられる人間は恐らく今後も何度でも騙されるでしょう。いや、現在でもすでに何かに騙され始めている可能性が高いですね。 二度と騙されないようにする（同じ間違いを犯さない）為には、自分の失敗を他人のせいにするのではなく、騙されるような脆弱な自分というものを徹底的に解剖する真剣な自己反省の念が必要不可欠であるということです。
It is not uncommon to hear stories of Japanese enterprises acquiring local overseas companies at exorbitantly high prices and then driving the bought business to the brink of collapse due to sloppy management, but let me tell you an interesting episode from my time in the management restructuring business overseas.
Before embarking on a bold restructuring to revive a dying company, I investigated by interviewing all parties involved in the sloppy investment and management of the acquired business. During the investigation, a director in charge of the auditors smugly said, “I was deceived!” and I couldn’t hide my contemptuous smile on that guy.
That auditor is responsible for checking the company’s performance, and if the person who is responsible for such an important task is deceived, it must be quite shameful. In other words, the auditor himself declared that his market value was zero, but he was not even aware of it.
Being deceived certainly means ‘victimization by a wrongdoer’, but those who mistakenly consider that as long as they say they have been deceived, they are free from all responsibility and can become unconditionally righteous should repent. Being deceived can be attributed to a lack of knowledge and a lack of strong will. It can be said that lack of intelligence and professionalism is sort of a sin. In other words, being deceived is also can be a sin.
People who can say ‘I was deceived’ with impunity will probably be deceived again and again in the future. No, it is highly likely that even now they have already started to be deceived about something. In order not to be deceived again (and not to make the same mistake), it is essential to have a serious sense of self-reflection, not to blame others for your mistakes, but to thoroughly dissect your vulnerable self, which is the one that can be deceived.
